### Pop-up Shop fancards Experience – Yellow M72 fancards, Official Rules (the “Rules”)

NO PURCHASE IS NECESSARY TO ENTER OR WIN. A PURCHASE DOES NOT INCREASE THE CHANCES OF WINNING.

1\. **Eligibility**: The Pop-up Shop fancards Experience – Yellow M72 fancards Sweepstakes, (the “***Sweepstakes***”) is open only to legal residents of the United States and Canada and is void where prohibited by law. You must be 18 years or older on the day you enter the contest to win a prize. Employees of the Sponsor, their respective affiliates, subsidiaries, advertising and promotion agencies, suppliers and their immediate family members and/or those living in the same household of each are not eligible to participate in the Sweepstakes. The Sweepstakes is subject to all applicable federal, state and local laws and regulations. Void where prohibited.

2\. **Sponsor:** Frantic, Inc, a company incorporated in the state of California, USA, under company number 2503797, at 10990 Wilshire blvd. 8th floor, Los Angeles, California 90024, USA (the ***“Sponsor”***).

3\. **Agreement to Rules:** By participating, you agree to be fully unconditionally bound by these Rules, and you represent and warrant that you meet the eligibility requirements set forth herein. In addition, you agree to accept the decisions of the Sponsor, as final and binding as it relates to the content. The Sweepstakes is subject to all applicable federal, state and local laws.

4\. **Sweepstakes Period and location:** The Sweepstakes will run:

•	From April 18 to April 19 2025, at the Pop-up shop in Syracuse, New York, USA;

•	From April 23 to April 26 2025, at the Pop-up shop in Toronto, Ontario, Canada;

•	From April 30 to May 3 2025, at the Pop-up shop in Nashville, Tennessee, USA;

•	From May 6 to May 7 2025, at the Pop-up shop in Blacksburg, Virginia, USA;

•	From May 8 to May 11 2025, at the Pop-up shop in Columbus, Ohio, USA;

•	From May 22 to May 25 2025, at the Pop-up shop in Philadelphia, Pennsylvania, USA;

•	From May 27 to May 28 2025, at the Pop-up shop in Washington, D.C., USA;

•	From May 30 to May 31 2025, at the Pop-up shop in Charlotte, North Carolina, USA;

•	From June 2 to June 3 2025, at the Pop-up shop in Atlanta, Georgia, USA;

•	From June 5 to June 8 2025, at the Pop-up shop in Tampa, Florida, USA;

•	From June 13 to June 14 2025, at the Pop-up shop in Houston, Texas, USA;

•	From June 19 to June 22 2025, at the Pop-up shop in Santa Clara, California, USA;

•	From June 26 to June 29 2025, at the Pop-up shop in Denver, Colorado, USA;

5\. **How to Enter:** At your visit to pop-up shops during the Sweepstakes Periods you may choose to receive at the respective pop-up store’s cash desk a free fan card. The number of fan cards is limited to one (1) per fan. The fan card provides a random chance to receive a Prize. You will need to remove the protective film with the “Metallica” logo on the fan card to see the QR code. By framing the QR code with the camera on your smartphone, you will be able to enter the Sweepstakes app (the **“App”**) and prompted to enter your data. Entries submitted using the entry form available on the App will be placed in the real time drawing on the day the entry is received by the App. Entries submitted using the form must be completely filled out. Each entry must fulfill all sweepstakes requirements, as specified, to be eligible to win a Prize. Entries that are not complete or do not adhere to the rules or specifications may be disqualified at the sole discretion of the Sponsor. All entries become the property of Sponsor and will not be acknowledged or returned. You may enter only once and must fill in all of the information requested. You may not enter more times than indicated by using multiple email addresses, identities or devices in an attempt to circumvent the rules. If you use fraudulent methods or otherwise attempt to circumvent the rules the submission may be removed from eligibility at the sole discretion of the Sponsor. In the event of a dispute over the identity of an online entrant, entry will be deemed submitted by the authorized account holder of the e-mail account of the e-mail address submitted at time of entry. “Authorized account holder” is defined as the natural person who is assigned to an e-mail address by an Internet access provider, on-line service provider, or other organization (e.g., business, educational institution, etc.) that is responsible for assigning e-mail addresses for the domain associated with the submitted e-mail address.

6\. **Prize:** Winners of the Sweepstakes will receive a free Snake Pit Ticket for themselves and 1 guest (full tickets, no need to already hold other tickets) (the “Prize”). 

There will be one (1) winner selected for each day the Pop-Up shop is open.

*Exception: for the Columbus show, the Prize will consist of one (1) Metallica Skateboard Deck signed by the band, as no Snake Pit section will be available at that event.*

No cash or other prize substitution permitted except at Sponsor's discretion. The Prize may not be used as a credit to the winner’s account or applied to any existing orders. Any and all prize related expenses, including without limitation any and all federal, state, and/or local taxes, if applicable, shall be the sole responsibility of the winner. No substitution of Prize or transfer/assignment of prize to others or request for the cash equivalent by winners is permitted. Acceptance of Prize constitutes permission for the Sponsor to use winner's name, likeness, and entry for purposes of advertising and trade without further compensation, unless prohibited by law.

7\. **Odds:** The odds of winning depend on the number of eligible entries received.

8\. **Winner selection and notification:** Winners of the Sweepstakes will be selected in a random drawing by the proprietary algorithm of the Sponsor in the App. The Prize winners will be selected on the same day of registration by the Fan in real time. Winners will be notified via a push notification in the App and by email indicated at registration. The Sponsor shall have no liability for a winner's failure to receive notices due to winners' phone service, spam, junk e-mail or other security settings or for winners' provision of incorrect or otherwise non-functioning contact information. If the selected winner cannot be contacted, is ineligible, fails to claim the prize within one day from the time award notification was sent, the Prize may be forfeited and an alternate winner selected. The receipt by winner of the prize offered in this Sweepstakes is conditioned upon compliance with any and all federal and state laws and regulations. ANY VIOLATION OF THESE OFFICIAL RULES BY ANY WINNER (AT SPONSOR'S SOLE DISCRETION) WILL RESULT IN SUCH WINNER'S DISQUALIFICATION AS WINNER OF THE SWEEPSTAKES AND ALL PRIVILEGES AS WINNER WILL BE IMMEDIATELY TERMINATED.

9\. **Rights Granted by you:** By entering this content you understand that the Sponsor, anyone acting on behalf of the Sponsor, or its respective licensees, successors and assigns will have the right, where permitted by law, without any further notice, review or consent to print, publish, broadcast, distribute, and use, worldwide in any media now known or hereafter in perpetuity and throughout the World, your entry, including, without limitation, the entry and winner's name, portrait, picture, voice, likeness, image or statements about the Sweepstakes, and biographical information as news, publicity or information and for trade, advertising, public relations and promotional purposes without any further notification and compensation.

10\. **Terms:** The Sponsor reserves the right, in its sole discretion to cancel, terminate, modify or suspend the Sweepstakes should (in its sole discretion) a virus, bugs, non-authorized human intervention, fraud or other causes beyond its control corrupt or affect the administration, security, fairness or proper conduct of the Sweepstakes. In such case, the Sponsor may select the recipients from all eligible entries received prior to and/or after (if appropriate) the action taken by the Sponsor. The Sponsor reserves the right at its sole discretion to disqualify any individual who tampers or attempts to tamper with the entry process or the operation of the Sweepstakes, or APP, or website, or violates these Rules.

The Sponsor has the right, in its sole discretion, to maintain the integrity of the Sweepstakes, to void entries for any reason, including, but not limited to multiple entries from the same user from different IP addresses; multiple entries from the same computer in excess of that allowed by the Rules; or the use of bots, macros or scripts or other technical means for entering.

Any attempt by an entrant to deliberately damage any web site or undermine the legitimate operation of the Sweepstakes may be a violation of criminal and civil laws and should such an attempt be made, the Sponsor reserves the right to seek damages from any such person to the fullest extent permitted by law. By entering the Sweepstakes you agree to receive email newsletters periodically from the Sponsor. You can opt-out of receiving this communication at any time by clicking the unsubscribe link in the newsletter.

11\. **Limitation of Liability:** By entering you agree to release and hold harmless the Sponsor and its subsidiaries, affiliates, advertising and promotion agencies, partners, representatives, agents, successors, assigns, employees, officers and directors from any liability, illness, injury, death, loss, litigation, claim or damage that may occur, directly or indirectly, whether caused by negligence or not, from (i) such entrant's participation in the sweepstakes and/or acceptance, possession, use, or misuse of any prize or any portion thereof, (ii) technical failures of any kind, including but not limited to the malfunctioning of any computer, smartphone, device, application, cable, network, hardware or software; (iii) the unavailability or inaccessibility of any transmissions or telephone or Internet service; (iv) unauthorized human intervention in any part of the entry process; (v) electronic or human error which may occur in the administration of the Sweepstake or the processing of entries.

12\. **Disputes:** THIS SWEEPSTAKES IS GOVERNED BY THE LAWS OF THE UNITED STATES AND THE STATE OF CALIFORNIA, WITHOUT RESPECT TO CONFLICT OF LAW DOCTRINES. As a condition of participating in this Sweepstakes, participant agrees that any and all disputes which cannot be resolved between the parties, and causes of action arising out of or connected with this Sweepstakes, shall be resolved individually, without resort to any form of class action, exclusively before a court located in the State of California having jurisdiction. Further, in any such dispute, under no circumstances will participant be permitted to obtain awards for, and hereby waives all rights to claim punitive, incidental, or consequential damages, including reasonable attorneys' fees, and participant further waives all rights to have damages multiplied or increased.
